1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bundl.my ("Platform," "we," "us," or "our"), operated by VISLOGIK TECHNOLOGIES (registration number CA0412428-D), a registered business entity in Malaysia. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

2. Platform Description

Bundl.my is a consumer-to-consumer (C2C) online marketplace platform that facilitates transactions between independent sellers and buyers of secondhand clothing items ("bundle" items).

We are an intermediary platform only. We do not:

  • Own, sell, or warehouse any items listed on the Platform
  • Guarantee the quality, safety, legality, or authenticity of any item
  • Verify the accuracy of seller descriptions or representations
  • Act as an agent or representative of any buyer or seller
  • Control the conduct of users or the content they post

All transactions are directly between users. We provide the technical infrastructure, payment escrow facilitation, and dispute mediation services, but we are not a party to any sale contract.

3. User Eligibility

To use this Platform, you must:

  • Be at least 18 years of age
  • Be legally capable of entering into binding contracts under Malaysian law
  • Reside in Malaysia or have a valid Malaysian shipping address
  • Provide accurate and complete account registration information
  • Not have been previously banned or suspended from the Platform

By creating an account, you represent and warrant that you meet these eligibility requirements. Accounts created by minors or through fraudulent means will be terminated immediately.

4. Account Responsibilities

You are fully responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account, whether authorized or not
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information is accurate and up-to-date

We are not liable for any loss or damage arising from your failure to protect your account credentials. You agree not to share, sell, or transfer your account to any third party.

5. Fees and Payments

5.1 Platform Fees

Sellers are charged a platform fee on each completed transaction, calculated as RM3.00 or 8% of the transaction value, whichever is higher. This fee is automatically deducted from the seller's payout.

Examples:

  • Item price RM30: Fee = RM3.00 (RM3 is higher than 8% of RM30 = RM2.40)
  • Item price RM50: Fee = RM4.00 (8% of RM50 = RM4.00 is higher than RM3)
  • Item price RM100: Fee = RM8.00 (8% of RM100 = RM8.00 is higher than RM3)

5.2 Payment Processing

All payment processing is handled by Stripe, Inc. The platform fee charged to sellers already includes Stripe's payment processing costs. Buyers do not pay any separate payment processing fees—the checkout total includes only the item price and shipping cost.

In the event of order cancellation or refund, Stripe's underlying processing fees are non-refundable to the Platform. This is why seller accountability (strike system) is important to minimize cancellations.

5.3 Escrow System

When a buyer completes payment:

  • Funds are held in Stripe escrow (not transferred to seller immediately)
  • Funds are released to seller upon successful delivery or manual buyer confirmation
  • If no confirmation or dispute is filed within 5 days of order creation, funds are automatically released to the seller
  • If a dispute is opened, funds remain held until resolution

5.4 Seller Payouts

Sellers must complete Stripe Connect onboarding to receive payouts. Payout timing is determined by Stripe's policies (typically 2-7 business days after escrow release). We are not responsible for delays caused by Stripe, banking institutions, or incorrect seller bank account details.

6. Prohibited Uses

You agree NOT to:

  • List prohibited items (see Platform Policy for full list)
  • Engage in fraudulent, deceptive, or misleading practices
  • Manipulate pricing, reviews, or ratings
  • Use the Platform for money laundering or illegal transactions
  • Harass, threaten, or abuse other users
  • Scrape, data mine, or use automated tools to access the Platform
  • Reverse engineer, decompile, or attempt to access Platform source code
  • Create multiple accounts to evade bans or manipulate the system
  • List items you do not own or have the right to sell
  • Infringe on intellectual property rights (trademarks, copyrights, patents)
  • Conduct transactions outside the Platform to avoid fees ("fee avoidance")
  • Post malicious links, malware, or harmful content

Violation of these prohibitions may result in immediate account termination, forfeiture of funds, and legal action.

7. Disclaimers and Limitation of Liability

7.1 "AS-IS" Service

THE PLATFORM IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Platform will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or quality of user content

7.2 No Liability for User Conduct

We are not liable for:

  • Seller fraud, misrepresentation, or failure to ship items
  • Buyer payment disputes or chargebacks
  • Item condition, quality, authenticity, legality, or safety
  • Delivery delays, lost parcels, or damaged shipments (caused by couriers)
  • User disputes, conflicts, or offline transactions

7.3 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

  • RM100.00, or
  • The platform fees you paid to us in the 12 months preceding the claim

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

8. Indemnification

You agree to indemnify, defend, and hold harmless Bundl.my, its affiliates, officers, directors, employees, agents, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your use of the Platform or violation of these Terms
  • Your listings, transactions, or interactions with other users
  • Your violation of any law, regulation, or third-party rights
  • Intellectual property infringement claims related to your content

This indemnification obligation survives termination of your account and these Terms.

9. Intellectual Property

9.1 Platform Ownership

All Platform content, features, functionality, software, code, design, trademarks, and logos are owned by VISLOGIK TECHNOLOGIES (CA0412428-D) and protected by Malaysian and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

9.2 User Content License

By posting content (photos, descriptions, reviews), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute your content for Platform operation, marketing, and improvement purposes. You represent that you own all rights to the content you post.

10. Termination

10.1 Termination by You

You may delete your account at any time through account settings. Deletion does not relieve you of obligations incurred prior to termination (outstanding orders, disputes, or payment obligations).

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, for:

  • Violation of these Terms or Platform Policy
  • Fraudulent activity or suspected criminal conduct
  • Excessive disputes, chargebacks, or buyer/seller strikes
  • Inactivity exceeding 24 months
  • Any reason we deem necessary to protect the Platform or other users

Upon termination, your access will be revoked, and active orders will be handled according to our dispute resolution process. We are not liable for any loss resulting from account termination.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal legal action, you agree to contact us at hello@bundl.my and attempt to resolve the dispute informally for at least 30 days.

11.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration conducted in accordance with the Asian International Arbitration Centre (AIAC) Rules. The arbitration shall be conducted in Kuala Lumpur, Malaysia, in the English language. Each party shall bear its own costs.

11.3 Governing Law

These Terms are governed by the laws of Malaysia. Any legal action that cannot be resolved through arbitration shall be subject to the exclusive jurisdiction of the courts of Malaysia.

11.4 No Class Actions

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

12. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, strikes, internet outages, third-party service failures (Stripe, EasyParcel, AWS), cyberattacks, or acts of terrorism.

13. Third-Party Services

The Platform integrates with third-party services (Stripe for payments, EasyParcel for shipping). We are not responsible for the performance, availability, or policies of these services. Your use of third-party services is subject to their respective terms and conditions.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.

15. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and Platform Policy, constitute the entire agreement between you and Bundl.my regarding use of the Platform, superseding any prior agreements or understandings.
